Pathience Terms of Use

Welcome to Pathience. These Terms of Use ("Terms") govern your access to and use of the Pathience platform, including our website, software, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account or using the Service, you represent that you have the legal authority to enter into these Terms on behalf of yourself and, if applicable, your organization. If you use the Service on behalf of an organization, these Terms bind that organization.
We may update these Terms from time to time. Material changes will be posted on our website or communicated by email. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
1.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and disclose information in connection with the Service. By using the Service, you consent to our data practices as described in the Privacy Policy.
2. Description of the Service
Pathience is a software platform for creating, managing, and organizing insurance policy documents, forms, endorsements, and related materials. Features may include:
- Visual document and form editors
- Data modeling and calculation tools
- Version control, branching, and publishing
- PDF and other document generation
- Collaboration, roles, and permissions
- APIs and integrations
Pathience is a document creation and management tool only. It is not an insurance product, insurance advice service, legal service, or regulatory compliance solution.
2.1 Experimental Features
The Service may include experimental, beta, or preview features that are clearly marked as such. These features are provided "as is" for evaluation purposes and may be incomplete, contain errors, or be subject to significant changes or discontinuation without notice.
2.2 Third-Party Integrations
The Service may integrate with or connect to third-party services, applications, or APIs ("Third-Party Integrations"). Pathience is not responsible for the availability, functionality, accuracy, or security of Third-Party Integrations. You acknowledge that:
- Third-Party Integrations are governed by separate terms and policies
- Data exchanged with Third-Party Integrations may be subject to those providers' privacy and security practices
- Pathience does not guarantee compatibility, uptime, or continued availability of Third-Party Integrations
- You are solely responsible for evaluating and managing risks associated with Third-Party Integrations
Any issues, data loss, or disruptions arising from Third-Party Integrations are outside Pathience's control and liability.
3. Account Responsibilities
You are responsible for all activity under your account. You agree to:
- Provide accurate and current registration information
- Maintain the security of your credentials
- Promptly notify us of unauthorized access
- Ensure all authorized users comply with these Terms
You remain responsible for actions taken by anyone you authorize to access the Service.
4. User Content and Ownership
4.1 User Content
"User Content" means all documents, forms, templates, data models, text, calculations, configurations, and other materials you create, upload, or generate using the Service.
4.2 Ownership
You retain all ownership rights in your User Content. Pathience does not claim ownership of User Content.
4.3 License to Pathience
You grant Pathience a limited, non-exclusive, worldwide license to host, store, process, display, and transmit User Content solely for the purpose of providing the Service, maintaining security, and performing routine maintenance.
4.4 Your Representations
You represent and warrant that you have all necessary rights to your User Content and that it does not violate applicable laws or third-party rights.
5. Insurance, Legal, and Compliance Disclaimers
5.1 No Professional Advice
Pathience is a software tool only. It does not provide insurance, legal, regulatory, or compliance advice and is not an insurance agent, broker, underwriter, or advisor.
All decisions regarding policy language, coverage, limits, premiums, endorsements, filings, and insurance product design are solely your responsibility. You should consult qualified professionals before using any documents in production.
5.2 User Responsibility for Content
You are solely responsible for all User Content created, uploaded, or generated using the Service, including:
- Policy forms, endorsements, and applications
- Coverage language and disclosures
- Data models, calculations, and conditional logic
- State-specific or jurisdiction-specific variations
Pathience does not review, approve, validate, or verify User Content for accuracy, legality, or regulatory compliance.
5.3 No Compliance or Filing Guarantees
Pathience does not guarantee that any content created using the Service will comply with state or federal insurance regulations, Department of Insurance filing or approval requirements, NAIC model laws, or industry standards.
5.4 Generated Documents
All generated documents (including PDFs) are produced based solely on User Content and configurations. You must review all generated documents before use. Pathience makes no warranties regarding accuracy, completeness, or fitness for purpose.
5.5 Limitation Related to Insurance Outcomes
To the maximum extent permitted by law, Pathience is not liable for claims, disputes, losses, or liabilities arising from insurance policies or documents created using the Service, including coverage determinations, claims handling, regulatory actions, audits, penalties, or errors or omissions.
6. Data Security and Confidentiality
Pathience will maintain reasonable administrative, technical, and physical safeguards designed to protect User Content against unauthorized access, disclosure, or loss.
We may use third-party hosting, infrastructure, and service providers (including cloud service providers) to operate and support the Service. These providers may process or store User Content on our behalf subject to contractual confidentiality and security obligations.
You are responsible for determining whether the Service meets your data protection and regulatory obligations.
7. Intellectual Property
7.1 Pathience IP
The Service, including all software, technology, interfaces, documentation, and non-user content, is owned by Pathience and protected by intellectual property laws. You receive a limited, non-transferable, non-exclusive license to use the Service during the term of these Terms.
7.2 Restrictions
You may not copy, modify, reverse engineer, decompile, or create derivative works of the Service, except as permitted by law.
7.3 Feedback
If you provide feedback or suggestions, Pathience may use them to improve the Service without obligation or compensation.
8. Acceptable Use
You agree not to use the Service to:
- Violate applicable laws or regulations
- Create fraudulent or misleading insurance materials
- Interfere with Service operation or security
- Access systems or data without authorization
- Distribute malware or harmful code
- Resell or sublicense the Service without permission
- Exceed reasonable API or system usage limits as documented or communicated by Pathience
9. Fees and Payment
Certain features of the Service may require payment. The Service operates on a subscription basis with billing terms specified at purchase or in an applicable order form.
Fees are non-refundable unless otherwise stated, unless the Service is materially unavailable for a significant period or as otherwise required by law. We may change pricing for future subscription terms with at least 30 days' prior notice to existing subscribers. Price changes will take effect at the start of your next subscription term; your current subscription term will not be subject to price increases.
10. Service Availability and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Pathience does not guarantee uninterrupted or error-free operation.
No service level agreement (SLA) is provided unless expressly stated in an applicable order form.
11. Limitation of Liability
To the maximum extent permitted by law, Pathience is not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms limits Pathience's liability for gross negligence, willful misconduct, or fraud. Pathience's total liability will not exceed the amounts paid by you to Pathience in the twelve (12) months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless Pathience from claims arising from your use of the Service, User Content, insurance products or documents created using the Service, or your violation of these Terms or applicable law.
13. Suspension and Termination
13.1 Suspension of Access
Pathience may suspend your access to the Service, in whole or in part, without terminating these Terms, if we reasonably determine that:
- Fees are past due
- Your use poses a security, legal, or operational risk
- You are engaging in abuse, misuse, or excessive usage of the Service
- Suspension is required to comply with law or regulatory obligations
During suspension, access to the Service or certain features may be limited or unavailable. Suspension does not relieve you of payment obligations.
13.2 Termination by You
For month-to-month subscriptions, you may cancel at any time, effective at the end of your current billing period.
For prepaid subscription terms of six (6) months or longer, you may cancel by providing written notice at least 30 days prior to the end of the then-current term. Prepaid fees for the current term are non-refundable, and cancellation will be effective at the end of that term.
13.3 Termination by Pathience
We may terminate these Terms for breach or for convenience with at least 30 days' prior notice, except where immediate action is required for security, legal compliance, or to prevent harm.
13.4 Effect of Termination and Data Export
You may export User Content in standard formats prior to termination. After this period, we may permanently delete User Content, including backups where feasible.
14. Dispute Resolution
14.1 For Individual / Consumer Accounts
Disputes will be governed by Kansas law and resolved in:
- (a) Small claims court in your jurisdiction, or
- (b) State or federal court in Kansas, or
- (c) Binding arbitration if both parties agree
Class Action Waiver: You may not bring class or representative claims except where prohibited by law.
14.2 For Business / Enterprise Accounts
Disputes will be resolved through binding arbitration under the AAA Commercial Arbitration Rules. Arbitration will be conducted in Kansas or remotely, at Pathience's discretion.
Opt-Out Right: You may opt out of arbitration by providing written notice to within sixty (60) days of the earlier of (i) account creation or (ii) acceptance of these Terms. If you opt out, disputes will be resolved exclusively in state or federal courts located in Kansas.
Small claims court exceptions apply where permitted.
Class Arbitration Waiver: Disputes must be brought on an individual basis only.
14.3 Mutual Obligations
Before initiating formal proceedings, both parties agree to attempt informal resolution by contacting . We will respond within fifteen (15) business days.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Pathience regarding the subject matter hereof and supersede all prior or contemporaneous agreements.
15.2 Severability
If any provision is held unenforceable, the remaining provisions will remain in effect.
15.3 Waiver
Failure to enforce any provision is not a waiver of that provision.
15.4 Assignment
You may not assign these Terms without Pathience's prior written consent. Pathience may assign these Terms without restriction.
15.5 Force Majeure
Neither party will be liable for delays or failures due to events beyond reasonable control, including natural disasters, pandemics, government actions, labor disputes, or internet failures.
